Terms of Service

Keep Onward, Inc. (d/b/a "Onward")

Last Updated: June 8th, 2026

1. Agreement to Terms

By accessing or using the Onward platform ("Platform" or "Service"), operated by Keep Onward, Inc. (d/b/a "Onward", "we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Use License

Permission is granted to temporarily use the Onward platform for personal or business productivity purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials except as required for normal platform use
  • Use the materials for any commercial purpose other than as intended
  • Attempt to decompile or reverse engineer any software contained on the Onward platform
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Onward at any time.

3. User Accounts

To access certain features of the platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payments

Onward is offered on a subscription basis. Current pricing is displayed at signup and on our website (currently a 14-day free trial, then the per-seat monthly or annual rate shown at checkout — annual saves two months versus paying monthly). A valid payment method is required to start a trial. By starting a trial or subscribing, you authorize us and our payment processor (Stripe) to charge your payment method for recurring subscription fees.

Subscriptions automatically renew at the end of each billing period unless you cancel before renewal. You may cancel at any time through Settings → Subscription in the app; cancellation typically takes effect at the end of your current billing period. Workspace billing is calculated per paid seat (collaborator) in your workspace.

Fees are non-refundable except as required by law or as explicitly stated at the time of purchase. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance of the new price for subsequent billing periods.

5. User Content

Our platform allows you to create, upload, and share content. You retain all rights to your content, but grant us a license to use, copy, modify, and display such content in connection with providing the service.

You are solely responsible for the content you post, and you agree not to post content that is illegal, offensive, or infringes on the rights of others.

When you participate in a workspace, certain work content (such as tasks, projects, and comments) may be visible to other workspace members according to project privacy settings and your role. Wellness content follows separate, stricter rules — see Section 5A.

5A. Team Health, Workspaces, and Data Privacy

Onward is built on a simple principle: your private wellness data stays private unless you explicitly choose to share it — and even then, we never expose raw wellness content to managers.

If your workspace uses Team Health, workspace admins and owners may access aggregated team insights to support workload planning. Regular workspace members do not receive admin-level Team Health access. Team Health is not a performance review, surveillance, or clinical diagnostic tool.

5A.1 What We Never Show Managers

Without exception, the following are never visible to workspace admins, owners, or managers through Team Health:

  • Journal entries, gratitude notes, and free-text wellness content
  • Individual mood entries or emotional state tied to your name
  • Raw imposter-syndrome reflections or personal wellness narratives
  • Any wellness-derived data when you select "No sharing" in your Team Health privacy settings

5A.2 Anonymized Team Aggregates

Depending on your Team Health sharing level (Settings → Privacy), you may contribute to anonymized workspace aggregates — such as team energy averages, respondent counts, and derived balance or routine-completion patterns. These aggregates are designed so that wellness signals in Team Health views are not displayed with your name. Stress-signal features use classifier scores only; underlying free-text is not stored or exposed at the team level.

5A.3 Identifiable Data Requires Explicit Opt-In

Managers and admins cannot see identifiable engagement data about you unless you separately opt in. The "Engagement detail for managers" setting is off by default. Only if you turn it on may workspace admins and owners see your name attached to metrics such as login frequency, morning-routine completion rate, or task-completion velocity. You may revoke this opt-in at any time in Settings → Privacy.

5A.4 Workspace Admin Responsibilities

If you are a workspace admin or owner, you agree to use Team Health data only for legitimate team support and workload planning — not for punitive action, unauthorized surveillance, or disclosure outside the workspace. You must respect each member's privacy choices and comply with applicable employment and privacy laws in your jurisdiction.

For full details on what we collect and how Team Health data is processed, see our Privacy Policy (Section 2.8).

6. Professional Services Disclaimer

6.1 Not a Substitute for Professional Mental Health Services

IMPORTANT: Onward is a productivity and wellness tool designed to support your work-life balance. It is NOT a substitute for professional mental health care, therapy, counseling, or medical advice. The wellness features (including mood tracking, journaling, and mental health resources) are for informational and self-improvement purposes only.

If you are experiencing a mental health crisis, thoughts of self-harm, or serious psychological distress, please immediately contact a qualified mental health professional, call emergency services (911 in the US), or contact a crisis helpline such as the National Suicide Prevention Lifeline (988 in the US).

Our platform does not provide diagnosis, treatment, or clinical assessment. Always seek the advice of qualified healthcare providers with questions regarding mental health conditions.

6.2 Subscription Billing Disclaimer

Onward provides subscription billing and optional business profile fields for account management. We do not provide expense tracking, budgeting, bank account linking, tax estimation, or professional financial services. Any business or tax identifiers you optionally store in your profile are your responsibility to keep accurate. For tax, accounting, or legal matters, consult qualified professionals.

6.3 AI-Generated Content Disclaimer

Our platform includes AI-powered features (Ollie AI, including the Onward Guide and in-app assistant) that provide suggestions, insights, and content generation. AI-generated content may contain errors, inaccuracies, or biases. You are solely responsible for reviewing, verifying, and validating any AI-generated content before use. Onward makes no warranties regarding the accuracy, completeness, or reliability of AI-generated content.

7. General Disclaimer

The materials on the Onward platform are provided on an 'as is' basis. Onward makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

You acknowledge that your use of Onward is at your sole risk and that you assume full responsibility for all decisions made based on information provided through the platform.

8. Limitations of Liability

In no event shall Onward or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption, personal injury, loss of privacy, or any other pecuniary or other loss whatsoever) arising out of or in any way connected with the use or inability to use the Onward platform, even if Onward or an authorized representative has been notified orally or in writing of the possibility of such damage.

This limitation of liability applies to, but is not limited to:

  • Any reliance on wellness, mental health, or self-improvement content
  • Any misuse of Team Health or workspace data by admins contrary to these Terms or applicable law
  • Any errors, inaccuracies, or omissions in AI-generated content
  • Data loss, corruption, or unauthorized access to your account
  • Business losses or missed opportunities

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Onward and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of and access to the platform
  • Your violation of these Terms of Service
  • Your violation of any third-party rights
  • Any content you submit or share through the platform
  • Any decisions made based on information provided by the platform

10. Acceptable Use Policy

You agree not to use the Onward platform to:

  • Violate any applicable local, state, national, or international law
  • Infringe on the intellectual property rights of others
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to other accounts or systems
  • Use the platform for any unlawful, fraudulent, or harmful purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the platform's operation or servers
  • Scrape, spider, or use automated means to access the platform without permission

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

11. Termination

We reserve the right to terminate or suspend your account and access to the platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service.

Upon termination, your right to use the platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the platform or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These terms and conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute relating to these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California. You agree to submit to the personal jurisdiction of these courts.

Before filing any lawsuit, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

13. Changes to Terms

Onward reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also provide notice via email or through the platform.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the platform.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the platform, shall constitute the entire agreement between you and Onward concerning the platform and supersede all prior agreements and understandings.
